Who can take part
The program is run by Plinth Systems LLC (“Plinth Systems”, “we”, “us”). It is open to individuals aged 18 or over and to businesses, in each case based in the United States. You can’t take part if:
- You are an employee or contractor of Plinth Systems
- You are referring yourself, or a business you own, control or work for
- Accepting a referral fee would break a law, your employer’s policies or a duty you owe to the business you are referring (for example as a public employee, or as their paid adviser)
What counts as a qualifying referral
- You submit the referral through the form on this page before the business contacts us itself
- The business has agreed to be introduced and to be contacted by us
- The business is new to us: not a current or former client, and not already in conversation with us
- The business signs a written services agreement with us within 6 months of your referral
If more than one person refers the same business, the first referral we receive is the one that counts. We decide, acting reasonably and in good faith, whether a referral qualifies, and we will tell you by email.
The referral fee
For a qualifying referral we pay you 5% of the fees we actually receive from the referred business for our services during the 12 months starting on the date it signs its first agreement with us. There is no cap.
The fee is calculated on our service fees only. It does not include sales tax, or costs we pass through to the client such as hardware, software licenses, cloud hosting, advertising spend and other third-party charges. Amounts we refund or credit to the client, or never collect, do not earn a fee. If we have already paid you a fee on an amount we later refund, we may deduct it from future fees.
When and how you are paid
We pay fees in U.S. dollars within 30 days after the end of each calendar quarter, covering the client payments we received in that quarter, with a short statement showing how the fee was worked out. Before the first payment we need a completed IRS Form W-9 and your payment details. You are responsible for any taxes on the fees you receive, and we report payments to the IRS where the law requires it.
How you make referrals
You take part as an independent party. Nothing here makes you our employee, agent, partner or representative, and you may not quote prices, make promises or sign anything on our behalf. You agree to:
- Tell the business you are referring that you may receive a fee from us
- Describe our services accurately and not make claims on our behalf
- Refer only people you have a real connection with: no bulk email, purchased lists, paid advertising or other unsolicited outreach
- Share someone’s contact details with us only with their permission
No obligation to take on a client
We choose which work we take on. We may decline a referred business, agree any price or terms with it, or end an engagement, for any reason. No fee is owed where no agreement is signed or no payment is received, and we do not promise any level of earnings from the program.
Changes and ending the program
We may change these terms or end the program at any time by updating this page. Referrals submitted before a change stay on the terms that applied when you submitted them. We may withhold fees and remove anyone from the program who breaks these terms or acts dishonestly.
Liability and governing law
To the fullest extent the law allows, our total liability to you in connection with the program is limited to the referral fees earned and not yet paid to you, and neither of us is liable to the other for indirect or consequential losses, including lost profits. These terms are the entire agreement between us about the program. They are governed by the laws of the State of Tennessee, and any dispute will be heard in the state or federal courts located in Knox County, Tennessee.

Referral program: common questions
How much can I earn from a referral?
5% of the service fees the referred business pays us in its first 12 months as a client, with no cap. Pass-through costs such as hardware, software licenses and cloud hosting are not included.
When do I get paid?
Within 30 days after the end of each calendar quarter, based on the payments we actually received from the client in that quarter.
Do I have to be a Plinth Systems client to refer someone?
No. Anyone eligible under the program terms can refer a business, whether or not they have worked with us.
What if the business doesn’t sign up?
Then no fee is owed. A referral qualifies only if the business signs an agreement with us within 6 months of your referral, and we are free to decline work that isn’t a good fit.
Can I refer my own company?
No. The program is for introductions to other businesses, not ones you own, control or work for.
Is the referral fee taxable?
Yes, it is income to you and you are responsible for the tax. We ask for a Form W-9 before the first payment and report payments to the IRS where required.
